1) Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the website, products, software, tools, and services provided by Pionex Digital (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2) Eligibility & Account Registration
- You must be at least the age of majority in your jurisdiction and have legal capacity to enter into these Terms.
- You represent that you are not subject to any trade, financial, or technology restrictions, sanctions, or embargoes that would prohibit your use of the Service.
- You agree to provide accurate, complete, and current information during registration and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
3) Description of Services
The Service may include algorithmic tools, automation features, analytics, simulated strategies, and connectivity to third-party exchanges or wallets you authorize. Pionex Digital is not an exchange, bank, broker, investment adviser, or fiduciary. We do not execute trades or hold customer funds unless explicitly stated and licensed to do so in your jurisdiction.
3.1 Live vs. Demo
We may offer a demo/simulation mode. Performance metrics in demo mode do not necessarily reflect real-world results due to latency, liquidity, slippage, and market conditions.
3.2 Third-Party Integrations
Integrations (e.g., via APIs) are provided “as-is.” You are solely responsible for securing API keys, permissions, withdrawal settings, and ensuring integrations comply with third-party terms.
4) Risk Disclosure & No Guarantees
Digital asset markets are volatile and involve substantial risk, including the risk of loss of principal. Past performance (real or simulated) is not indicative of future results. Pionex Digital makes no guarantees of profit, return, or outcome; any examples, projections, or backtests are for illustrative or educational purposes only.
- Market risk, liquidity risk, slippage, latency, exchange downtime or insolvency may impact results.
- Automation or bots may behave unexpectedly due to code bugs, data feed issues, exchange API changes, or user misconfiguration.
- By using the Service, you acknowledge and accept these risks and agree that you are solely responsible for your decisions.
5) Compliance, KYC/AML & Sanctions
We may implement identity verification (KYC), anti-money-laundering (AML) checks, sanctions screening, and transaction monitoring as required by law or internal policy. We may refuse, suspend, or terminate access if we cannot verify information or suspect prohibited activity.
6) User Obligations & Prohibited Uses
- Do not use the Service for unlawful purposes, market manipulation, fraud, sanctions evasion, or to violate third-party rights or terms.
- Do not attempt to bypass security, reverse engineer, scrape at scale, or interfere with the Service’s operation.
- You are responsible for securing your devices, API keys, wallets, and for setting appropriate permissions (e.g., disabling withdrawals on exchange API keys where possible).
- You must comply with all applicable laws and regulations in your jurisdiction.
7) Fees, Payments & Refunds
We may charge subscription, usage-based, transaction, or other fees as disclosed at the point of purchase or in your dashboard. All fees are stated exclusive of taxes unless indicated otherwise. Unless required by law or specified in a written policy, all payments are non-refundable.
You authorize us (and our payment processors) to charge your selected payment method for due amounts. You must maintain accurate billing information and sufficient funds/limits. We may suspend the Service for non-payment.
8) API / Automation Terms
- If you use our API or automation features, you must adhere to our usage guidelines, rate limits, and security best practices.
- You are responsible for any actions taken with your API credentials, including third-party software you authorize.
- We may modify or discontinue API endpoints at any time and are not liable for resulting impacts.
9) Privacy
Your use of the Service is subject to our Privacy Policy. Where permitted, we may process data to provide and improve the Service, meet legal obligations, prevent fraud, and secure our systems. Do not submit personal data you are not authorized to share.
10) Intellectual Property
The Service, including software, designs, logos, text, and content, is owned by Pionex Digital or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose. All rights not expressly granted are reserved.
11) Suspension & Termination
We may suspend or terminate access to the Service (or any part) without notice for suspected violations of these Terms, legal requirements, security concerns, non-payment, or for any other reason in our discretion. You may stop using the Service at any time. Provisions that by their nature should survive termination shall survive (e.g., intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution).
12) Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, accuracy of data or results, and compatibility with third-party platforms.
13) Limitation of Liability
To the maximum extent permitted by law, Pionex digital and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to your use of the Service, even if advised of the possibility of such damages.
Our aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of (i) the amounts you paid to us for the Service in the twelve (12) months preceding the claim, or (ii) USD 100.
14) Indemnification
You agree to indemnify, defend, and hold harmless Pionex digital and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any law or third-party rights.
15) Governing Law, Dispute Resolution & Venue
These Terms are governed by the laws of YOUR COUNTRY / STATE, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts (or, if you opt-in below, by binding arbitration) located in YOUR CITY / JURISDICTION. You consent to personal jurisdiction and venue in those courts.
Optional Arbitration Clause (replace or remove)
At our or your election, any dispute may be finally resolved by confidential, binding arbitration administered by YOUR ARBITRATION BODY, in English, before a single arbitrator, with limited discovery and no class or representative actions. The arbitrator’s award may be entered in any court of competent jurisdiction.
16) Changes to the Service & Terms
We may modify the Service and these Terms at any time. Material changes will be posted on this page with an updated “Last updated” date. Your continued use after changes become effective constitutes acceptance of the revised Terms.
